This action was commenced by the plaintiff-respondent, Morry A. Silberman, based on the doctrine of promissory estoppel, plaintiff
claiming that he had reduced the amount of a debt owed to him by Milway, Inc., from $206,000 to $137,500 upon the promise
and representation of agents for the defendant Nasco, Inc., that Nasco would purchase Milway and strengthen it financially
and put it on a sound financial footing. Up until 1959 Morry Silberman had been engaged in the family business of operating Milway, Inc., a mail order house. In 1959,
he ended his relationship with Milway and sold all his stock to Milway for $315,000. By December of 1965 this debt had been
reduced to $206,000. In 1965 the profits of Milway had fallen below $50,000 per year and, according to the terms of the debt,
repayment was reduced to $10,000 per year, including interest.
